Limitation of Liability
This Limitation of Liability page explains the limits of responsibility that apply to the use of morlunequantara.com and to operational consulting and process improvement services provided by Morlune Quantara. It is intended to be read together with our Terms of Service, Service Agreement, Disclaimer, Refund Policy, and any written agreement applicable to a specific engagement.
Our services are advisory, analytical, and consultative. We do not operate, manage, supervise, or control the client’s business. The client remains responsible for all business decisions, implementation choices, compliance obligations, personnel decisions, financial consequences, and operational outcomes.
To the fullest extent permitted by law, the limitations described below apply to all claims arising out of or relating to the website, communications, proposals, invoices, services, deliverables, recommendations, or business relationship with us.
Morlune Quantara may provide assessments, recommendations, internal procedure drafts, process improvement plans, workflow observations, and team coordination suggestions. These materials are intended to support client decision-making but do not replace management judgment or professional review.
The client decides whether, when, and how to use our recommendations. We are not responsible for results caused by client implementation decisions, internal execution, employee response, budget constraints, technology limitations, third-party actions, or other circumstances beyond our control.
Any use of our deliverables without appropriate review, testing, adaptation, or supervision is at the client’s own risk.
To the fullest extent permitted by law, Morlune Quantara will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to the website, services, deliverables, or engagement.
This exclusion includes, without limitation, lost profits, lost revenue, loss of business opportunity, loss of goodwill, loss of productivity, reputational harm, business interruption, increased operating costs, loss of data, replacement service costs, or claims by third parties.
These exclusions apply whether the claim is based on contract, tort, negligence, strict liability, statute, equity, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total cumulative liability for all claims arising out of or relating to a specific service engagement will not exceed the total amount actually paid by the client to Morlune Quantara for the specific service giving rise to the claim during the three months immediately preceding the event that gave rise to the claim.
If the claim relates only to use of the website and not to paid services, our total liability will be limited to one hundred United States dollars or the lowest amount permitted by applicable law.
The liability cap applies in the aggregate to all claims, damages, losses, expenses, and causes of action arising from the same or related circumstances.
The client is responsible for reviewing, approving, adapting, and implementing any operational recommendations or deliverables. We do not guarantee that recommendations will be appropriate for every department, employee, contract, system, location, or jurisdiction.
Before implementing any material change, the client should consider internal approvals, legal review, employee communication, technology readiness, budget, training needs, operational risk, and business continuity.
Morlune Quantara is not liable for damages resulting from implementation without adequate review, implementation outside the agreed scope, misinterpretation of deliverables, unauthorized modification of materials, or use of materials for purposes not intended by the engagement.
Our work may rely on documents, statements, data, and operational descriptions provided by the client. We are not liable for inaccuracies, omissions, assumptions, or recommendations caused by incomplete, outdated, false, misleading, or withheld client information.
The client is responsible for ensuring that it has the right to provide all materials to us and that the materials do not violate third-party rights, confidentiality obligations, privacy obligations, employment restrictions, or contractual duties.
The client agrees to indemnify and hold us harmless from claims arising out of client-provided materials, unauthorized disclosures, inaccurate information, or misuse of our deliverables by the client.
We may interact with or refer to third-party tools, vendors, platforms, consultants, software, payment processors, hosting providers, or communication systems. We do not control these third parties and are not liable for their actions, omissions, downtime, security incidents, pricing changes, errors, or policies.
The client is responsible for evaluating and managing its own relationships with third-party providers. Any third-party services are governed by their own terms, conditions, and privacy policies.
We are not responsible for damages caused by third-party systems, third-party data, external consultants, contractors, employees, vendors, software, or service providers used by the client.
Morlune Quantara will not be liable for delay, non-performance, or service interruption caused by circumstances beyond our reasonable control. Such circumstances may include natural disasters, severe weather, power outages, internet failures, labor disruptions, governmental actions, civil disturbances, war, terrorism, public health emergencies, provider outages, cyber incidents, or other events outside our control.
If a force majeure event affects our ability to perform, we may extend timelines, modify delivery methods, pause work, or terminate the affected engagement where performance becomes impractical.
The limitations of liability stated in this page are an essential basis of the bargain between the client and Morlune Quantara. Fees for services are established in reliance on these limitations and would be materially different without them.
The client acknowledges that consulting services involve professional judgment and that no consultant can control all internal and external factors affecting a business outcome.
If any limitation is found unenforceable, the remaining limitations will continue to apply to the fullest extent permitted by law.
Nothing in this Limitation of Liability is intended to exclude liability that cannot be excluded under applicable law. Some jurisdictions do not allow certain exclusions or limitations, and in such cases the limitation will apply only to the maximum extent legally permitted.
This page does not limit obligations expressly stated in a signed written agreement where that agreement specifically overrides this Limitation of Liability.
